A contract amendment template lets you change an existing agreement without rewriting it from scratch. Use it to replace a clause, add a new one, delete one that no longer applies, or update fees, term and schedule, while confirming that everything else in the original contract stays the same. This free template includes the full text with recitals, numbered amendments, an effective date for the changes, a conflict rule and signature blocks ready for e-signature.

What Is a Contract Amendment?
A contract amendment is a short written agreement, signed by the same parties as the original contract, that changes specific terms of that contract. It identifies the original agreement by title and date, explains the background (the recitals), states each change precisely and confirms that all other terms remain in force. Most agreements include an amendment clause requiring changes to be in writing and signed by both parties; this template is built to satisfy that kind of clause.
Amendment vs. Addendum
The two words are often used interchangeably, but they usually mean different things:
- An amendment changes something that is already in the contract: it replaces, edits or deletes existing wording, such as a new price, a longer term or a revised scope.
- An addendum adds new material without changing the existing terms, such as an extra schedule, a list of new deliverables or additional rules, attached to the original agreement.
If you are rewriting or removing any existing clause, use an amendment. If you are only attaching new terms that don’t contradict the original, an addendum may be enough. When in doubt, an amendment with a conflict rule is the safer choice because it states which document controls.

How to Customize This Template
- Quote section numbers exactly — Use the numbering of the original agreement.
- Write complete replacement text — Replace whole sections instead of single words to avoid ambiguity.
- Delete what you don’t need — Remove unused amendment sections (2 to 5) before sending.
- Number each amendment — Amendment No. 1, No. 2 and so on keeps a clear history.
- Match the original formalities — If the original contract required notarization, witnesses or registration, the amendment usually needs the same.
