BILL OF SALE This Bill of Sale (the “Bill of Sale”) is made and entered into as of [Effective Date] (the “Effective Date”), BETWEEN: [Seller Name], residing at or with a principal address at [Seller Address] (the “Seller”); AND [Buyer Name], residing at or with a principal address at [Buyer Address] (the “Buyer”). The Seller and the Buyer may be referred to individually as a “Party” and collectively as the “Parties.” 1. SALE AND TRANSFER OF OWNERSHIP For the purchase price stated below, the Seller sells, transfers and delivers to the Buyer, and the Buyer purchases from the Seller, all of the Seller’s right, title and interest in the personal property described in Section 2 (the “Property”). Ownership passes to the Buyer when the purchase price has been paid in full and the Property has been delivered, unless the Parties agree otherwise in writing. 2. DESCRIPTION OF THE PROPERTY (a) Description: [Item Description]. (b) Make, model and year (if applicable): [Make, Model and Year]. The description includes the accessories, keys, manuals and documents that the Parties list in an attached inventory, if any. 3. PURCHASE PRICE The total purchase price for the Property is [Purchase Price] (the “Purchase Price”). The Purchase Price includes any deposit already paid. A deposit of [Deposit Amount] has been received by the Seller and will be credited against the Purchase Price. 4. PAYMENT The Buyer will pay the balance of the Purchase Price by [Payment Method] no later than [Payment Due Date]. Payment is considered made only when the Seller has received cleared funds. If the Parties agree to pay in installments, they should sign a separate written payment agreement, which will be read together with this Bill of Sale. 5. TITLE AND LIEN WARRANTY The Seller warrants that the Seller is the lawful owner of the Property, has the right to sell it, and that the Property is free of all liens, security interests, claims and encumbrances, except the following: [Liens or Encumbrances]. The Seller will defend the Buyer’s title against the lawful claims of any third party arising from facts that existed before the sale. 6. CONDITION OF THE PROPERTY (AS IS) The Buyer has had the opportunity to inspect the Property, or has chosen not to inspect it. Except for the title warranty in Section 5 and any written statement in this Bill of Sale, the Property is sold “as is, where is,” with all faults, and without any other warranty, express or implied, to the extent permitted by law. The Seller has disclosed the following known defects: [Known Defects]. Nothing in this Section limits any right that cannot be waived under applicable consumer law, or the Seller’s liability for defects the Seller knowingly concealed. 7. DELIVERY AND RISK OF LOSS The Seller will deliver the Property to the Buyer on [Delivery Date] at [Delivery Location], together with all keys, manuals and title documents in the Seller’s possession. Risk of loss or damage passes to the Buyer upon delivery. Until delivery, the Seller remains responsible for the Property and will keep it in its current condition, ordinary wear excepted. 8. VEHICLES, VESSELS AND REGISTERED PROPERTY If the Property is a motor vehicle, trailer, boat or other registered property, the Parties will complete and sign any official transfer form, title certificate, odometer disclosure or registration document required by the competent motor vehicle department or national registry, and will file it within the time required by law. Where the Parties’ jurisdiction requires it, signatures will be notarized or witnessed. This Bill of Sale supplements, and does not replace, those official forms. 9. TAXES, FEES AND REGISTRATION Unless the Parties agree otherwise in writing, the Buyer is responsible for sales or use taxes, transfer taxes, registration and title fees arising from this sale, and the Seller is responsible for any taxes, fines or charges relating to the Property for the period before delivery. Each Party will cooperate in providing the information needed to register the transfer. 10. REPRESENTATIONS OF THE PARTIES Each Party represents that it is of legal age and has full capacity and authority to enter into this Bill of Sale. The Seller represents that the information provided about the Property is true and complete to the best of the Seller’s knowledge. The Buyer represents that the Buyer is not relying on any statement that is not written in this Bill of Sale. 11. GOVERNING LAW This Bill of Sale is governed by the laws of [Governing Law / Jurisdiction], without regard to conflict-of-law principles. The courts located in [Governing Law / Jurisdiction] will have jurisdiction over any dispute arising out of or relating to this Bill of Sale, unless the Parties agree in writing to try mediation first. 12. GENERAL PROVISIONS (a) Entire Agreement. This Bill of Sale, together with any attached inventory and payment agreement, is the entire agreement between the Parties regarding the sale of the Property and supersedes any prior discussions or agreements on that subject. (b) Amendments. Any change to this Bill of Sale must be in writing and signed by both Parties. (c) Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. (d) Binding Effect. This Bill of Sale binds and benefits the Parties and their heirs, successors and permitted assigns. (e) Counterparts and Electronic Signatures. This Bill of Sale may be signed in counterparts, including by electronic signature, each of which is deemed an original and all of which together form one instrument. What Is a Bill of Sale?

A bill of sale is a document that transfers ownership of personal property from a seller to a buyer. It typically identifies both parties, describes the item (including any serial number, hull number or VIN), states the price and how it was paid, and records whether the item is sold as is and free of liens.

For vehicles, boats and other registered property, a bill of sale is usually supporting evidence, not the whole transfer. Many motor vehicle departments and national registries require their own official title or transfer form, an odometer disclosure, and in some places notarized signatures. Complete those forms as well.
