SPONSORSHIP AGREEMENT This Sponsorship Agreement (the “Agreement”) is entered into as of [Effective Date] (the “Effective Date”), BETWEEN: [Sponsor Name], with a principal place of business at [Sponsor Address] (the “Sponsor”); AND [Organizer Name], with a principal place of business at [Organizer Address] (the “Organizer”, which may be an event organizer, team, club, content creator or nonprofit). The Sponsor and the Organizer may be referred to individually as a “Party” and collectively as the “Parties.” 1. SPONSORED PROPERTY AND TERM The Sponsor will sponsor the following event, team, program, show or channel: [Sponsored Property] (the “Property”). This Agreement runs for [Sponsorship Term], starting on the Effective Date, unless terminated earlier under Section 11. 2. SPONSORSHIP PACKAGE AND BENEFITS The Sponsor purchases the [Sponsorship Package] package, which includes the following benefits: [Sponsorship Benefits] (for example, logo placement, naming rights, booth space, host-read mentions, social posts, tickets or hospitality). Benefits not listed are not included unless added by written amendment. 3. SPONSORSHIP FEE AND PAYMENT The Sponsor will pay the Organizer [Sponsorship Fee] according to the following schedule: [Payment Schedule]. Invoices are due within [Payment Due Days] days of receipt. Fees are exclusive of applicable taxes unless stated otherwise. In-kind contributions, if any, must be described with their agreed value in the package. 4. LOGO AND TRADEMARK LICENSE Each Party grants the other a limited, non-exclusive, non-transferable, royalty-free license to use its name, logos and trademarks during the term solely to deliver and promote the sponsorship, following any brand guidelines provided in writing. All goodwill from such use belongs to the trademark owner. Neither Party may register or alter the other Party’s marks. 5. EXCLUSIVITY During the term, the Organizer will not accept sponsorship from a direct competitor of the Sponsor in the following category: [Exclusivity Category]. If no category is stated, the sponsorship is non-exclusive. Exclusivity does not restrict sponsors or partners of venues, leagues or platforms outside the Organizer’s control. 6. DELIVERABLES AND REPORTING The Organizer will provide the following deliverables: [Deliverables]. The Organizer will report on delivery and available performance metrics (such as attendance, impressions, downloads or clicks) on a [Reporting Frequency] basis and in a final recap within thirty (30) days after the term ends. Metrics are good-faith estimates unless audited. 7. APPROVAL OF MATERIALS Each Party will submit materials that use the other Party’s marks for approval before publication. The receiving Party will approve or request reasonable changes within [Approval Period] business days. Approval will not be unreasonably withheld. Previously approved materials may be reused in the same format. 8. SPONSORED CONTENT DISCLOSURE The Organizer will clearly disclose the sponsorship in any content that promotes the Sponsor, using labels such as “Sponsored by” or “Ad” as required by applicable advertising and consumer protection laws and platform rules. The Sponsor will not ask the Organizer to make false or unsubstantiated claims about the Sponsor’s products or services. 9. MORALITY CLAUSE Either Party may suspend or terminate this Agreement by written notice if the other Party, or its principal representatives, engages in conduct that is illegal, fraudulent or that brings it into significant public disrepute and is reasonably likely to harm the terminating Party’s reputation. Fees for benefits already delivered remain payable. 10. CANCELLATION, POSTPONEMENT AND REFUNDS If the Property is cancelled, the Parties will apply the following refund terms: [Refund Terms]. If the Property is postponed, benefits carry over to the new date unless the Sponsor elects a pro-rata refund for undelivered benefits. Neither Party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, public health orders or government restrictions, provided it notifies the other Party promptly. 11. TERM AND TERMINATION Either Party may terminate this Agreement for material breach that is not cured within [Cure Period] days after written notice. On termination, the Organizer will refund prepaid fees for benefits not delivered, the Sponsor will pay for benefits already delivered, and each Party will stop using the other Party’s marks within a reasonable period. 12. INDEMNIFICATION AND LIABILITY Each Party will indemnify the other against third-party claims arising from its own negligence, breach of this Agreement or infringement caused by its supplied materials. Except for indemnification obligations, neither Party is liable for indirect or consequential damages, to the extent permitted by law. The Organizer is responsible for permits, venue rules and insurance appropriate to the Property. 13. GOVERNING LAW This Agreement is governed by the laws of [Governing Law / Jurisdiction], without regard to conflict-of-law principles. The courts located in [Governing Law / Jurisdiction] will have exclusive jurisdiction over disputes arising out of or relating to this Agreement, unless the Parties agree in writing to mediation before litigation. 14. GENERAL PROVISIONS (a) Entire Agreement. This Agreement constitutes the entire agreement between the Parties concerning its subject matter and supersedes prior or contemporaneous agreements on that subject. (b) Amendments. Modifications must be in writing and signed by both Parties. (c) Severability. If any provision is held unenforceable, the remaining provisions remain in effect. (d) Independent Parties. The Parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture or agency. (e) Assignment. Neither Party may assign this Agreement without the other Party’s prior written consent. (f) Counterparts and Electronic Signatures. This Agreement may be executed in counterparts, including electronic signatures, each of which will be deemed an original.
