ROOFING CONTRACT This Roofing Contract (the “Contract”) is entered into as of [Effective Date] (the “Effective Date”), BETWEEN: [Contractor Name], license number [Contractor License Number], with a principal place of business at [Contractor Address] (the “Contractor”); AND [Homeowner Name], with a mailing address at [Homeowner Address] (the “Homeowner”). The Contractor and the Homeowner may be referred to individually as a “Party” and collectively as the “Parties.” 1. SCOPE OF WORK The Contractor will perform the following roofing work at [Property Address] (the “Property”): [Scope of Work] (for example, tear-off of existing roofing down to the deck, installation of underlayment, ice and water barrier, drip edge, flashing, ventilation and new roof covering). Materials: [Roofing Materials]. Manufacturer and product line: [Manufacturer and Product Line]. Color: [Material Color]. All work will follow the manufacturer’s installation instructions and applicable building codes. Gutters, skylights, chimneys, solar panels and interior repairs are excluded unless listed above. 2. PERMITS AND INSPECTIONS The Contractor will obtain the building permits required for the work and schedule required inspections. Permit fees are included in the Contract Price unless stated otherwise in the Scope of Work. The Homeowner is responsible for any homeowners’ association or landlord approval and will give the Contractor a copy before work starts. 3. SCHEDULE Work will start on or about [Start Date] and is expected to be substantially complete by [Estimated Completion Date]. The schedule may be extended for weather, permit or inspection delays, material shortages, hidden damage and approved change orders. The Contractor will keep the Homeowner informed of material schedule changes. 4. CONTRACT PRICE AND PAYMENTS (a) Contract Price. The Homeowner will pay [Contract Price] for the work in Section 1, subject to written change orders and the hidden damage pricing in Section 6. (b) Deposit. A deposit of [Deposit Amount] is due when this Contract is signed. Where local law limits the deposit for home improvement contracts, the lower legal limit applies. (c) Progress Payments. Remaining payments are due as follows: [Progress Payment Schedule]. The final payment is due on completion of the work and passing any final inspection. (d) Late Payment. Overdue amounts may accrue interest at the maximum rate permitted by law or a lower rate agreed in writing. 5. CHANGE ORDERS Any change to the scope, materials, color, price or schedule requires a written change order describing the change, its price and its effect on the schedule, signed or accepted electronically by both Parties before the changed work starts, except for emergency work needed to protect the Property. 6. HIDDEN DAMAGE AND DECKING Rotten, damaged or non-compliant roof decking and other concealed conditions may only be visible after tear-off. The Contractor will notify the Homeowner, with photos where practical, before replacing them. Decking replacement will be charged at [Decking Replacement Price], and other concealed repairs such as rafters, fascia or framing at [Additional Repair Rate], unless the Parties agree a different price in a change order. If the Homeowner cannot be reached and the roof is open, the Contractor may perform the minimum repairs needed to keep the roof weathertight. 7. WEATHER DELAYS AND PROTECTION The Contractor will not begin tear-off when significant rain, snow or high wind is reasonably forecast, and will protect open roof areas with temporary coverings until they are weathertight. The Contractor is responsible for water damage caused by its failure to protect open areas. Delays caused by weather extend the schedule without penalty to either Party. 8. SITE PROTECTION AND CLEANUP The Contractor will take reasonable steps to protect landscaping, siding, windows and driveways, place debris in suitable containers, remove all roofing debris from the Property, and perform a magnetic sweep for nails at the end of the job. The Homeowner will move vehicles and fragile outdoor items and secure items in the attic or on walls that may be affected by vibration. 9. WARRANTIES (a) Workmanship Warranty. The Contractor warrants its workmanship against defects for [Workmanship Warranty Period] from completion and will repair covered leaks or installation defects at no cost to the Homeowner. (b) Manufacturer Warranty. Materials are covered only by the manufacturer’s warranty, which is subject to the manufacturer’s terms and any registration requirements. The Contractor will provide the warranty documents and assist with registration. (c) Exclusions. Warranties do not cover damage from storms beyond the product rating, falling objects, foot traffic by others, alterations by third parties, lack of maintenance or pre-existing structural problems. 10. LICENSE, INSURANCE AND LIEN WAIVERS (a) License. The Contractor represents that it holds all contractor, roofing or home improvement licenses required where the Property is located. (b) Insurance. The Contractor will maintain general liability insurance and workers’ compensation coverage where required by law, as follows: [Insurance Coverage], and will provide certificates of insurance on request. (c) Lien Waivers. With each payment, the Contractor will provide lien waivers for itself and, on request, from its subcontractors and material suppliers, where lien waivers are used in the jurisdiction. The Homeowner may withhold the final payment until final lien waivers are delivered. 11. CANCELLATION AND TERMINATION (a) Homeowner Cancellation Right. The Homeowner may cancel this Contract without penalty within [Cancellation Period] after signing, or within any longer period required by law, for example when the Contract is signed at the Homeowner’s residence. The Contractor will provide any cancellation notice form required by law. Additional rules may apply when the work is paid by an insurance claim. (b) Termination for Breach. Either Party may terminate this Contract for material breach not cured within ten (10) days after written notice. On termination, the Homeowner will pay for work properly performed and materials specially ordered and not returnable, less any damages caused by the Contractor’s breach. 12. LIMITATION OF LIABILITY Except for damage caused by gross negligence or willful misconduct, or where the law does not allow a limitation, neither Party is liable for indirect or consequential damages arising out of this Contract. 13. GOVERNING LAW This Contract is governed by the laws of [Governing Law / Jurisdiction], without regard to conflict-of-law principles. The courts located in [Governing Law / Jurisdiction] will have jurisdiction over disputes arising out of or relating to this Contract, unless the Parties agree in writing to try mediation first. 14. GENERAL PROVISIONS (a) Entire Agreement. This Contract, including the estimate and any signed change orders, constitutes the entire agreement between the Parties concerning the work and supersedes prior proposals on that subject. (b) Amendments. Modifications must be in writing and signed or accepted electronically by both Parties. (c) Severability. If any provision is held unenforceable, the remaining provisions remain in effect. (d) Subcontractors. The Contractor may use qualified subcontractors and remains responsible for their work. (e) Counterparts and Electronic Signatures. This Contract may be executed in counterparts, including by electronic signature, each of which will be deemed an original.
