This is a starting template, not legal advice. Have a qualified attorney review it for your jurisdiction and use case before signing.
A consignment agreement template lets a consignor place goods with a shop, gallery or dealer that sells them in exchange for a commission. Whether you run a clothing resale store, sell artwork through a gallery, or place furniture or used equipment with a dealer, a written consignment contract makes ownership, pricing and payment clear before the first item goes on the shelf.
Disclaimer: This template is for general information only and is not legal advice. Consignment, sales tax and consumer protection rules vary by jurisdiction. Adapt it to your situation and consult a lawyer before using it for high-value goods.
What Is a Consignment Agreement?
A consignment agreement is a contract between the consignor (the owner of the goods) and the consignee (the business that displays and sells them). Unlike a regular sale, the consignee does not buy the items upfront. The consignor keeps ownership until a buyer pays, and the consignee keeps a share of each sale as its commission. If you are selling goods outright instead, use our sales agreement template.
Key Clauses in This Consignment Agreement Template
- Items schedule — An attached list with description, condition, quantity and agreed price for each item.
- Ownership until sale — Title stays with the consignor; the consignee is only a sales agent.
- Pricing and markdowns — A minimum price and an agreed markdown schedule for slow-moving items.
- Commission split — The percentage each party receives and what counts as the net sale price.
- Sales reports and payment timing — When and how the consignor is paid, plus access to sales records.
- Consignment period — How long the items stay in the store and how to extend it.
- Unsold items — Pickup window, and whether unclaimed items are returned, donated or handled another way.
- Loss, damage and insurance — Who bears the risk while items sit in the shop.
- Display and marketing — Permission to photograph and advertise items online and in store.
How to Customize This Template
- Attach a detailed items list — Photos, serial numbers or condition notes prevent disputes about what was delivered.
- Set realistic pricing rules — Agree on minimum prices and markdown steps (for example, a reduction after 30 and 60 days).
- Define the net sale price — Say whether card fees, shipping or sales tax are deducted before the split.
- Check local rules — Sales tax or VAT collection, secondhand dealer rules, abandoned property and creditor protection can differ by state or country. Some items, such as vehicles or firearms, may require official transfer forms or licenses.
- Review insurance — Confirm whether the consignee’s policy covers goods owned by third parties.
